1. Acceptance of Terms

By accessing or using the PrimeAssist website and services, you agree to be bound by these Terms of Service. If you do not agree, you must not use the Services. PrimeAssist provides a platform that connects Clients with independent contractors for task based services.

2. Nature of Services

PrimeAssist acts solely as a platform and coordination service. We facilitate connections, provide structured processes, and enable documentation. PrimeAssist does not directly perform tasks and does not employ Assistants. All Assistants operate as independent contractors.

3. Eligibility

To use PrimeAssist, you must be at least 18 years old, provide accurate information, and comply with all applicable laws.

4. User Responsibilities

Clients agree to:

• Provide clear and lawful instructions
• Define task scope and limits accurately
• Review all submitted documentation

Assistants agree to:

• Follow instructions exactly as provided
• Not make independent decisions beyond the task scope
• Submit required documentation like receipts and confirmations
• Maintain high professionalism and confidentiality

5. Assignment Scope and Limitations

All tasks must be lawful and clearly defined. Assistants are not authorized to provide financial or legal advice, or make discretionary decisions beyond assigned instructions.

6. Responsibility Tier System

PrimeAssist uses a structured system where Assistants indicate their comfort level. Assignments are matched based on these tiers, but PrimeAssist does not guarantee assignment availability.

7. Payments and Fees

Clients agree to pay all service fees. Assistants are compensated based on assignment completion and pre-defined fees. We are not responsible for delays caused by missing documentation.

8. No Employment Relationship

Nothing in these Terms creates employment or partnership. Assistants are solely responsible for their own taxes and legal compliance.

9. Financial Task Disclaimer

PrimeAssist does not provide financial services. Assistants execute instructions only and do not manage funds or provide financial advice. Clients remain responsible for all financial decisions.

10. Documentation and Record Keeping

All assignments require receipts and task completion reports. Failure to provide these may result in non payment or account suspension.

11. Account Suspension and Termination

We reserve the right to suspend accounts for policy violations, fraud, or failure to comply with instructions.

12. Limitation of Liability

PrimeAssist is not liable for actions of users or losses resulting from task execution. Services are provided on an "as is" basis.

13. Indemnification

You agree to indemnify PrimeAssist from any claims or damages arising from your use of the Services.

14. Confidentiality

Users must not disclose client information or internal processes. Violation may result in legal action.

15. Governing Law

These Terms are governed by the laws of the United States.
