This Non-Disclosure Agreement ("NDA") protects the confidential information that Assistants access while providing services through PrimeAssist. Every Assistant must agree to this NDA before handling any Client Task or data.
"Confidential Information" includes, without limitation: Client names and contact details, addresses, financial information, payment details, Task instructions, purchase history, personal preferences, and any other information that is not publicly available and is obtained in connection with providing services.
Confidential Information does not include information that: (a) is or becomes public through no fault of the Assistant; (b) was lawfully known prior to disclosure; or (c) is required to be disclosed by law, provided the Assistant gives PrimeAssist prompt notice where legally permitted.
The obligations in this NDA remain in effect during the Assistant's engagement and continue indefinitely after the engagement ends.
The Assistant acknowledges that any breach may cause irreparable harm to PrimeAssist and its Clients. PrimeAssist is entitled to seek injunctive relief and damages, and may immediately terminate the Assistant's engagement and report serious breaches to authorities.
