1. Introduction & Acceptance

Welcome to PrimeAssist ("PrimeAssist", "we", "us", or "our"). By accessing or using any part of our platform, website (primeassistcare.com), mobile applications, or services (collectively, the "Platform"), you agree to be legally bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Platform.

These Terms form a legally binding agreement between you and PrimeAssist. If you are using the Platform on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Definitions

  • "Client" means any individual or entity that registers on the Platform to request services from an Assistant.
  • "Assistant" means an independent contractor who registers on the Platform to provide personal assistance services to Clients.
  • "Services" means the personal assistance tasks facilitated by PrimeAssist, including errand assistance, bill payments, shopping, and lifestyle support.
  • "Task" means a specific assignment created by a Client and completed by an Assistant.
  • "Task Log" means the complete, timestamped record of all actions, receipts, and documentation for a Task.
  • "Spending Limit" means the maximum monetary amount a Client authorises for a Task.
  • "Service Fee" means the fixed fee paid to an Assistant upon confirmed Task completion.

3. Eligibility

To use the Platform you must: (a) be at least 18 years of age; (b) have legal capacity to enter into binding contracts; (c) not be prohibited from using the Platform under applicable law; and (d) provide accurate, current, and complete information during registration. PrimeAssist reserves the right to refuse registration or terminate accounts at its sole discretion.

4. Account Registration & Security

You must register an account to access most Platform features. You are responsible for maintaining the confidentiality of your login credentials and all activity under your account. Notify us immediately at support@primeassistcare.com of any unauthorised use. You may not share, transfer, or allow others to access your account.

5. Services — Client Terms

5.1 Task Creation

Clients create Tasks by providing instructions, a Spending Limit, and payment authorisation. Clients are solely responsible for the accuracy and completeness of their instructions.

5.2 Spending Limits

The Spending Limit you set is a hard cap. Assistants are contractually prohibited from spending in excess of this amount.

5.3 Receipt Requirement

Every financial transaction must be receipted. Receipts are uploaded, timestamped, and locked in the Task Log. Clients may access Task Log records at any time.

5.4 Payment Release

The Service Fee is held by PrimeAssist and only released upon the Client's written confirmation of satisfactory completion. Clients must confirm or raise a dispute within 72 hours of completion notification.

5.5 Client Conduct

Clients must not request Tasks that are illegal, fraudulent, or involve prohibited goods. PrimeAssist reserves the right to cancel any Task that violates this section.

6. Services — Assistant Terms

6.1 Independent Contractor Status

Assistants are independent contractors, not employees. Assistants are solely responsible for their own taxes, insurance, and legal compliance.

6.2 Vetting & Verification

Assistants agree to complete PrimeAssist's vetting process including ID verification, background checks, reference checks, skills assessments, and execution of a signed NDA and Service Agreement.

6.3 Executor Obligation

Assistants act strictly as executors of Client instructions. Assistants must not make financial decisions beyond the scope of Client instructions, spend beyond the Spending Limit, omit receipts, or share Client information with any third party.

6.4 Service Fee

Assistants receive a fixed Service Fee per Task, disclosed prior to acceptance. PrimeAssist deducts a platform commission as disclosed in onboarding materials.

7. Prohibited Conduct

  • Providing false information during registration or in connection with a Task.
  • Circumventing PrimeAssist's payment, receipting, or documentation systems.
  • Using the Platform to facilitate any illegal, fraudulent, or deceptive activity.
  • Harassing, threatening, or abusing any other Platform user.
  • Soliciting Clients or Assistants to conduct transactions outside the Platform.
  • Uploading viruses, malware, or disruptive code.
  • Reverse engineering or scraping any part of the Platform.
  • Impersonating another person or entity.

8. Intellectual Property

PrimeAssist retains all rights in the Platform, including software, design, content, trademarks, and trade names. You are granted a limited, non-exclusive, non-transferable licence to use the Platform solely in accordance with these Terms. You must not copy, modify, distribute, sell, or lease any part of the Platform without prior written consent.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRIMEASSIST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. PRIMEASSIST'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF: (a) SERVICE FEES PAID IN THE PRIOR THREE MONTHS; OR (b) USD $100.

10. Disclaimer of Warranties

THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR UNINTERRUPTED SERVICE.

11. Indemnification

You agree to indemnify and hold harmless PrimeAssist and its officers, directors, employees, agents, and licensors from any claims, liabilities, damages, losses, and expenses arising from: (a) your use of the Platform; (b) your breach of these Terms; (c) your violation of applicable law or third-party rights; or (d) any dispute between you and another user.

12. Termination

PrimeAssist may suspend or terminate your account at any time, with or without notice, for breach of these Terms. Upon termination, your right to use the Platform ceases immediately. You may close your account at any time by contacting support@primeassistcare.com.

13. Dispute Resolution

For disputes between Clients and Assistants, PrimeAssist will review the Task Log within five (5) business days. PrimeAssist's determination is final for amounts up to USD $500. Larger disputes shall be submitted to binding arbitration under AAA rules (US) or ICC rules (international).

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States. For UK and EU users, mandatory consumer protection laws of your country of residence also apply.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes at least 14 days before they take effect. Continued use constitutes acceptance.
